ERS Licence Agreement
This licence is granted to the named user for use only at the user's premises as disclosed to ERS. The software is only made available to the licensee on terms that the licensee accepts the terms and conditions set out below. Use The software may be used only by the registered user for the non-commercial purpose disclosed by the registered user to ERS. No fee may be charged to any third party and no reimbursement of expenses may be requested or suggested to a third party in connection with the use of the software. Location The registered user is permitted to use the software only at the address stated in the registered user's application for this licence. Period This licence is granted for the period of one year from its grant. ERS reserves the absolute right to refuse to renew this licence. Further, this licence shall terminate automatically in the event of the breach by the registered user of any of the terms of this licence. Finally, ERS may, at its absolute discretion at any time give not less than 7 days notice to the registered user at the address stated in the registered user's application form to terminate this licence. Ownership The registered user shall acquire no proprietary rights to the software and any documents or materials in whatever form supplied by ERS in connection with the software. Copies The software shall not be copied by the registered user or any other party except to such limited extent as is necessary for its use and for the purposes of security and back up only. No warranty condition undertaking or term expressed or implied, statutory or otherwise relating to software is given by ERS. Without limitation, no warranties or representations are given as to the condition, quality, performance or fitness for purpose of the software. In particular, ERS shall not be responsible for losses or damage resulting from the failure of the registered users hardware, software or backups and any loss of programme or data. Infringement The registered user will inform ERS if it comes to know of any infringement of ERS copyright in the software. The registered user will also inform ERS in the event of any claim by a third party for alleged infringement of any intellectual property rights including, or without limitation, copyright by the use or possession of the software or any part of the software. If ERS requests, it shall have complete control of any legal action in respect of any such claim. Licensor's Restructuring It is declared that nothing shall prevent ERS from altering its constitution and transferring or otherwise dealing with its rights to the software. Non-Assignment The licensor shall not assign its rights or delegate its duties under the terms of this licence. Governing Law This agreement shall be governed and construed in accordance with the laws of England. |
